Terms of Service
These terms govern your use of the GLOCOD.AI platform, website and related services. Please read them before you subscribe.
Draft pending legal review. This document has not yet been approved by counsel. Values shown as [TO CONFIRM] must be completed, and the whole text signed off, before the service is offered commercially.
1. Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you — or the organisation you represent (“you”, “Customer”) — and [TO CONFIRM: registered entity name], a company registered in [TO CONFIRM: jurisdiction] under number [TO CONFIRM: company number], with its registered office at [TO CONFIRM: registered address] (“GLOCOD.AI”, “we”, “us”).
By creating an account, starting a trial, or otherwise using the platform, you accept these Terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.
If you do not accept these Terms, do not use the service.
Our Privacy Policy forms part of this agreement. Where we act as a processor of personal data on your behalf, our Data Processing Agreement (DPA) also applies and, in the event of a conflict about the processing of personal data, the DPA prevails over these Terms.
2. What the service is — and is not
GLOCOD.AI collects regulatory instruments from official publishers, interprets them, and turns them into structured obligations, action items and tasks with the source citation preserved at every step.
The service does not provide legal advice. It explains what a regulatory instrument says and organises the work that follows from it. Whether a requirement applies to your entity, how it should be met, and what the consequences of non-compliance are, remain judgements for you and your legal counsel. No lawyer–client relationship is created by your use of the platform.
Interpretations, summaries, classifications and deadline extractions are generated with the assistance of automated systems, including large language models. They are checked against published source text and flagged where they diverge, but they may still contain errors, omissions or content that is out of date. You are responsible for verifying any output against the cited source before relying on it for a compliance decision.
3. Accounts and eligibility
You must be at least 18 years old and legally able to enter into a contract. The service is offered for professional and business use; it is not intended for consumers.
You are responsible for:
- the accuracy of the registration information you give us;
- keeping account credentials confidential, and for all activity that occurs under your account;
- the acts and omissions of every user you invite into your workspace, as if they were your own; and
- telling us promptly at hello@glocod.ai if you suspect unauthorised access.
Accounts are for named individuals. Credentials must not be shared between people, and a seat must not be used by more than one person concurrently.
4. Plans, trials and billing
4.1 Plans
The service is offered on the plans published on our pricing page. Prices in force at the date of these Terms are:
| Plan | Price | Basis |
|---|---|---|
| Individual | €19 per month | Per account |
| Companies | €49 per month | Per user |
| Enterprise | Custom | Per order form |
Enterprise subscriptions are governed by these Terms together with the signed order form. Where the order form and these Terms conflict, the order form prevails.
4.2 Free trial
We may offer a free trial. Trials are provided “as is”, may be limited in features, jurisdictions or duration, and may be modified or withdrawn at any time. Unless you tell us otherwise before it ends, a trial does not convert automatically into a paid subscription; we will not charge you without your having entered payment details and confirmed a plan. Trial workspaces and their contents may be deleted [TO CONFIRM: retention period] after the trial ends.
4.3 Fees, renewal and taxes
Fees are billed in advance for each billing period (monthly, or annually where you select an annual term) and are payable by the payment method on file. Subscriptions renew automatically for successive periods of the same length until cancelled.
Fees are stated exclusive of VAT and any other applicable taxes, duties or withholdings, which you are responsible for paying. Where we are required to collect tax, it is added to your invoice.
Where you add users mid-period, the additional seats are charged pro rata for the remainder of the period and in full from the next renewal.
4.4 Cancellation and refunds
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are non-refundable except where required by law or where we terminate for our own convenience under clause 14.
4.5 Price changes
We may change our prices. We will give you at least [TO CONFIRM: notice period, e.g. 30 days] notice before a change applies to your subscription, and the new price takes effect at your next renewal. If you do not accept it, you may cancel before that renewal.
4.6 Late payment
If payment fails, we may retry it, and we may suspend access after reasonable notice. Overdue amounts may carry interest at the statutory rate applicable under clause 16.
5. Your data and content
You own your content. The instruments you upload, the action items, tasks, notes, sign-offs and other material you or your users create in your workspace (together, “Customer Data”) remain yours.
You grant us a non-exclusive, worldwide licence to host, copy, process, transmit and display Customer Data solely to the extent needed to provide, secure and support the service for you, and to comply with the law.
We do not use Customer Data to train models, and we do not share it with other customers. Where the platform uses third-party model providers to generate an interpretation, the relevant content is sent under contractual terms that prohibit its use for training. Aggregated, fully anonymised statistics that cannot identify you or any individual may be used to operate and improve the service.
You are responsible for having the rights necessary to submit Customer Data, and for ensuring your use of the service complies with the laws applicable to that data — including data protection law and any professional confidentiality obligations you are under.
On termination you may export Customer Data as described in clause 14.
6. Acceptable use
You must not, and must not permit anyone else to:
- use the service in breach of any applicable law, or to facilitate a breach of the law by anyone else;
- resell, sublicense, rent, or provide the service as a bureau or managed service to a third party, except as expressly agreed in an order form;
- scrape, crawl, or bulk-extract content, other than through an API we provide and within its documented limits;
- reverse engineer, decompile or disassemble any part of the platform, or attempt to derive its source code, models, prompts or training data, except to the extent this restriction is unenforceable by law;
- circumvent or test authentication, rate limits, seat limits or other technical restrictions;
- upload malware, or content that infringes a third party's rights;
- submit special-category personal data, health information, or other sensitive data into workspaces that have not been configured for it under clause 5 and our Privacy Policy; or
- use output in a way that presents it as legal advice, or as the advice of a qualified professional, to a third party.
We may investigate suspected breaches and take proportionate action, including suspension under clause 14.
7. Regulatory sources and third-party content
The platform surfaces material published by legislatures, regulators and official publishers. That material is the work of those bodies and is subject to their own terms and re-use conditions. Citations, links and excerpts are provided so you can verify an interpretation against its source.
We take reasonable care to keep sources current, but we do not warrant that any instrument, consolidation, amendment or deadline shown on the platform is complete, accurate or up to date. Official publication remains the authoritative record. Where a source is unavailable, delayed or withdrawn by its publisher, coverage of it may lag or stop.
The platform may link to or integrate with third-party services. We are not responsible for those services, and your use of them is governed by their own terms.
8. Intellectual property
The platform, its software, models, interfaces, database structure, documentation and the GLOCOD.AI name and marks are owned by us or our licensors. Except for the limited right to use the service under these Terms, no rights are granted to you.
Subject to your payment of the applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the service during your subscription term, for your own internal business purposes.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you. We will not identify you as their source without your permission.
9. Confidentiality
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use it only to perform this agreement, will protect it with at least the care it applies to its own confidential information, and will not disclose it except to its personnel and advisers who need it and are under equivalent obligations.
These obligations do not apply to information that is or becomes public without breach, was already known free of obligation, is independently developed, or must be disclosed by law — in which case the receiving party will, where legally permitted, give prior notice.
10. Availability, support and changes
We aim to keep the service available continuously, but it is provided without a committed uptime guarantee unless an order form or service level agreement says otherwise. We may perform maintenance, and will give reasonable notice of planned maintenance likely to cause material disruption.
Support is provided by email at hello@glocod.ai during business hours in [TO CONFIRM: support hours and time zone]. Enterprise customers may have additional support terms in their order form.
We develop the platform continuously and may add, change or remove features. We will not make a change that materially degrades a core function of your paid plan during a period you have already paid for, without giving you notice and, if you object, a pro-rata refund for the unused remainder.
11. Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care, and in accordance with the security measures described in our Privacy Policy.
Otherwise, and to the maximum extent permitted by law, the service is provided “as is” and “as available”. We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
In particular, we do not warrant that:
- the service will be uninterrupted, timely or error-free;
- any interpretation, summary, classification, obligation or deadline generated by the platform is accurate, complete, current or suitable for your circumstances; or
- use of the service will result in, or be sufficient for, compliance with any law or regulation.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
12. Limitation of liability
Subject to the final paragraph of clause 11, and to the maximum extent permitted by law:
- neither party is liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, business, goodwill or reputation, or for regulatory fines or penalties imposed on the other party, however arising; and
- each party's total aggregate liability arising out of or in connection with this agreement is limited to the fees paid or payable by you for the service in the twelve (12) months immediately before the event giving rise to the claim.
These limits do not apply to your obligation to pay fees, or to either party's breach of clause 9 (Confidentiality).
You acknowledge that the platform is a decision-support tool and that the allocation of risk in this clause reflects the fees charged and the fact that compliance judgements remain yours.
13. Indemnity
You will indemnify us against third-party claims, and reasonable costs arising from them, to the extent they result from your Customer Data, your breach of clause 6 (Acceptable use), or your use of the service in breach of law.
We will indemnify you against third-party claims that the platform, used in accordance with these Terms, infringes that third party's intellectual property rights, provided you notify us promptly, let us control the defence, and cooperate reasonably. We may at our option modify the service, obtain a licence, or terminate the affected subscription with a pro-rata refund.
14. Suspension and termination
You may terminate at any time by cancelling under clause 4.4.
We may suspend or restrict access immediately where necessary to protect the platform, its users or a third party — for example on a security incident, a breach of clause 6, or non-payment after notice. We will restore access once the cause is resolved, and will limit the scope and duration of any suspension to what is necessary.
Either party may terminate for material breach that is not remedied within 30 days of written notice, or immediately if the other becomes insolvent or enters an equivalent process.
We may terminate a subscription for convenience on [TO CONFIRM: notice period] notice, refunding fees paid for any unused period.
On termination: your right to access the service ends. For 30 days afterwards you may request an export of Customer Data in a structured, machine-readable format. After that period we delete or irreversibly anonymise Customer Data in accordance with our Privacy Policy, except where retention is required by law. Clauses 5, 8, 9, 11, 12, 13, 16 and 17 survive termination.
15. Changes to these terms
We may update these Terms. Where a change materially affects your rights or obligations, we will notify you by email or in-product at least [TO CONFIRM: notice period, e.g. 30 days] before it takes effect. Continued use after the effective date constitutes acceptance; if you do not accept, you may terminate before that date and receive a pro-rata refund for any unused paid period.
The “Last updated” date at the top of this page always reflects the current version.
16. Governing law and disputes
These Terms, and any dispute arising out of or in connection with them, are governed by the laws of [TO CONFIRM: governing law], without regard to conflict-of-law rules. The courts of [TO CONFIRM: exclusive jurisdiction] have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
Nothing in this clause deprives a consumer, or a party in a jurisdiction whose law does not permit such a choice, of the protection of mandatory local law.
Before commencing proceedings, the parties will attempt in good faith to resolve the dispute by escalating it to senior representatives for 30 days.
17. Contact
Questions about these Terms:
- Email: hello@glocod.ai
- Post: [TO CONFIRM: registered entity name and address]
These Terms are the entire agreement between the parties on their subject matter and supersede all prior discussions. If any provision is held unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it. You may not assign this agreement without our consent; we may assign it to an affiliate or in connection with a merger or sale of the business.
